Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On February 13, 2026, James F. Palmer and The Timken Company (the “Company”) mutually agreed that he would retire effective as of March 31, 2026 to support the planned transition of the Audit Committee chair role to Sarah C. Lauber. Mr. Palmer currently serves as the Chair of the Audit Committee and a member of the Compensation Committee. Mr. Palmer’s retirement was not a result of any financial or accounting issue or disagreement with the board of directors or Company on any such matter. We thank Mr. Palmer for his significant contributions to the Company during his service on the board of directors.
