Item 8.01. Other Events. On April 7, 2026, TransDigm Group Incorporated (“TransDigm”) issued a press release (the “Press Release”) announcing the completion of the acquisition of Jet Parts Engineering and Victor Sierra Aviation Holdings (collectively, “the Companies”), formerly portfolio companies of Vance Street Capital, for approximately $2.2 billion in cash, including certain tax benefits. TransDigm financed the acquisition of the Companies through cash on hand as well as cash proceeds from the debt offerings completed in February 2026. The entry into the definitive agreement to acquire the Companies was previously reported in a Current Report on Form 8-K filed on January 16, 2026. A copy of this Press Release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
