Item 5.07. Submission of Matters to a Vote of Security Holders. At 9:00 a.m. (Pacific Time) on May 27, 2026, BlackRock TCP Capital Corp. (“TCPC”) convened its 2026 Annual Meeting of Stockholders via live Internet webcast (the “Meeting”). At the Meeting, TCPC’s shareholders voted on one proposal, which was approved. The proposal is described in detail in TCPC’s definitive proxy statement for the Meeting as filed with the Securities and Exchange Commission (the “SEC”) on April 9, 2026. As of March 30, 2026, the record date, TCPC had 84,229,112 shares of common stock outstanding. Not all shares owned by affiliates are authorized to vote. The final voting results from the Meeting were as follows. Proposal 1. TCPC’s common stockholders elected six directors to the Board of Directors of TCPC. Each of Eric J. Draut, Karen L. Leets, Andrea L. Petro, Maureen K. Usifer, John R. Baron and Philip Tseng will serve until the 2027 Annual Meeting or until his or her successor is duly elected and qualifies.
