Item 8.01 Other Events. On March 9, 2026, Talkspace, Inc. (the “ Company ”) issued a press release announcing the entry into an Agreement and Plan of Merger (the “ Merger Agreement ”) with Universal Health Services, Inc., a Delaware corporation (“ Parent ”), and UHS Merger Subsidiary, Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent (“ Merger Sub ”). Subject to the terms and conditions of the Merger Agreement, Merger Sub will be merged with and into the Company (the “ Merger ”), with the Company surviving the Merger as an indirect wholly owned subsidiary of Parent. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. The terms of the Merger Agreement will be described in a subsequent filing on Form 8-K.
