Submission of Matters to a Vote of Security Holders.

On May 21, 2026, Star Holdings (the "Company")
held its 2026 Annual Meeting of Shareholders virtually for the purpose of (i) electing three trustees to hold office until the 2027 annual
meeting of shareholders and (ii) ratifying the appointment of Deloitte & Touche LLP as the Company's independent registered public
accounting firm for the fiscal year ending December 31, 2026. The final voting results for each of the proposals submitted to a vote of
shareholders at the annual meeting are set forth below.

Proposal
1.  Election of Trustees: At the annual meeting, three trustees were elected for terms continuing until the
2027 annual meeting of shareholders. For each nominee, the numbers of votes cast for, votes withheld and broker non-votes were as follows:
