Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On April 17, 2026, Paulina Klimenko notified the Company of her intent to retire from PubMatic for personal reasons, including her desire to focus on her health. Ms. Klimenko is not departing to assume a position at another company or organization. Ms. Klimenko will remain active in her role through July 2026 to facilitate an orderly transition of her responsibilities, during which time the Company will conduct a search for a global Chief Revenue Officer as further described in the press release furnished herewith as Exhibit 99.1.
