On March 13, 2026, Progyny, Inc. (the “Company”) issued a Notice of Pendency of Settlement of Derivative Action, which is attached hereto as Exhibit 99.1, in accordance with the terms of a settlement agreement the Company entered into with a stockholder of the Company to resolve an action brought derivatively on behalf of the Company in the Supreme Court for the State of New York, New York County challenging historical compensation practices for the Company’s non-employee directors.
