Entry into a Material Definitive Agreement.

On May 18, 2026, Odyssey Health, Inc., entered
into Amendment No. 12 with LGH Investments, LLC, effective as of April 30, 2026. Pursuant to Amendment No. 12, the parties have agreed
to extend the maturity date of the note to September 30, 2026. All other terms and conditions remain the same.
