On December 16, 2024 the Board
of Directors of the registrant (the “Board”) held a special meeting for the purpose of formally accepting a resignation of
a then current member of the Board of Directors.

On December 16, 2024, the Board
accepted the resignation of Robert Adams, effective immediately.

Mr. Adams cited personal disagreements
with other Board Directors regarding the direction of the Company as the reason for his resignation.

Mr. Adams has no direct or indirect
material interest in any transaction or proposed transaction required to be reported under Item 404(a) of Regulation S-K.
