On March 29, 2026, William Ostrander, the Chief Financial
Officer of Scorpius Holdings, Inc., a Delaware corporation (the “Company”), notified the Company of his decision to resign,
effective March 31, 2026, from his position as the Company’s Chief Financial Officer. Mr. Ostrander did not advise the Company of
any disagreement with the Company on any matter relating to its operations, policies or practices.
