Item 8.01. Other Events. On March 19, 2026, Empire Petroleum Corporation (the “ Company ”) issued a press release announcing the expiration of their previously announced registered rights offering. The rights offering generated approximately $10 million in gross proceeds, before expenses. A copy of the press release is filed as Exhibit 99.1 hereto.
