Item 8.01 – Other Events. Share Repurchase Program On November 4, 2025, Chime’s board of directors authorized a share repurchase program under which Chime may repurchase up to $200.0 million of its outstanding Class A common stock. Under this program, Chime is authorized to repurchase shares of its Class A common stock from time to time through open market transactions, privately negotiated transactions and other means subject to market conditions and in compliance with applicable securities laws, including through Rule 10b5-1 plans. Open market repurchases may be structured to occur in accordance with the requirements of Rule 10b-18. The timing, manner, price and amount of any repurchases will be determined by Chime at its discretion and depend on a variety of factors, including legal requirements, price, and economic and market conditions. The repurchase program does not obligate Chime to repurchase any particular amount of Class A common stock and may be suspended or discontinued at any time at Chime’s discretion without prior notice, subject to all applicable securities laws.
