On April 16, 2026, Michael
Pope notified the Company of his decision to resign as a member of the Board of Directors of the Company. The resignation is effective
immediately. Mr. Pope’s decision to resign was to pursue other opportunities and did not result from any disagreement with the Company
regarding any matter relating to our operations, policies, or practices.
